1. What startupstobuy is

startupstobuy is an online marketplace that helps founders list startups for sale and connects them with prospective buyers. We provide the platform, listing tools, revenue and traffic verification, messaging, and offers. We are not a party to, broker of, or guarantor of any transaction between a buyer and a seller. Any purchase, sale, or transfer is solely between those parties.

2. Eligibility & accounts

• You must be at least 18 and able to enter into a binding contract.
• You can sign in with Google or with an email and password. You are responsible for keeping your credentials secure and for all activity under your account.
• You must provide accurate information and keep it up to date.

3. Listings & seller responsibilities

• You may only list a startup you own or are authorized to sell, and you must have the right to transfer everything the listing describes.
• Listing content — descriptions, metrics, assets, and reasons for sale — must be accurate and not misleading. You are responsible for it.
• When you connect a read-only Stripe key or Google Analytics, you authorize us to read and display that data on your listing. We show the numbers we retrieve but do not independently audit or guarantee them.

4. Buyer responsibilities & due diligence

Metrics shown on a listing — including Stripe-verified revenue and traffic — are provided for convenience and may be incomplete or out of date. You are responsible for conducting your own due diligence before making or accepting an offer. Do not rely solely on figures displayed on the site.

5. Offers & communication

Offers and messages sent through the platform are between the buyer and seller. We may transmit and store them to operate the service, but we do not verify the identity, solvency, or intentions of any user, and we are not responsible for the outcome of any negotiation.

6. Fees

Using the marketplace may be subject to fees, which we will disclose before they apply. If no fee is disclosed for an action, that action is free. We may change our fees on a going-forward basis.

7. Prohibited conduct

• Posting false, fraudulent, or infringing listings or content.
• Circumventing verification, scraping, or abusing the platform or its APIs.
• Harassing other users or using the messaging system for spam.
• Attempting to access accounts, data, or systems you are not authorized to access.

8. Intellectual property

The site, its design, and its software are owned by us or our licensors. You retain ownership of the content you submit but grant us a license to host and display it for the purpose of operating the marketplace.

9. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, express or implied. Nothing on the site is financial, investment, legal, or tax advice. We do not warrant that any listing, metric, or user is accurate, legitimate, or suitable.

10. Limitation of liability

To the fullest extent permitted by law, startupstobuy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from a transaction between users, reliance on displayed metrics, or your use of the service.

11. Indemnification

You agree to indemnify and hold startupstobuy harmless from claims arising out of your listings, your transactions with other users, or your breach of these terms.

12. Termination

You may stop using the service at any time. We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a risk to the platform or other users.

13. Changes to these terms

We may update these terms from time to time. Material changes will be reflected by the “Last updated” date above, and continued use after a change means you accept the revised terms.
